Terms of service

These terms of service ("Terms") govern your use of Saient, the AI agent platform operated by Nester Labs ("Nester Labs", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

1. The Service

Saient lets you configure AI agents that conduct voice calls and messaging conversations with your contacts, transcribe and score those conversations, and manage outbound campaigns. The Service includes wallet-based billing in Indian rupees, purchase of phone numbers, and related dashboards and tools.

2. Accounts

You must provide accurate account information and keep your sign-in credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.

3. Wallet credits and billing

• The Service is billed per minute of conversation, at rates that depend on the provider configuration of your agents. The applicable rate is shown before you place calls, and each charge is itemised in your transaction history.
• You pre-pay by topping up a wallet via Razorpay. Wallet credits do not expire.
• Wallet credits are non-refundable except as required by applicable law. Credits are not legal tender, carry no cash value outside the Service, and cannot be transferred between accounts.
• Phone numbers purchased through the Service are billed as a recurring monthly charge against your wallet and may be released by you at any time. Rates and fees may change prospectively; changes will be reflected in the Service before they apply to new usage.

4. Acceptable use

You agree not to use the Service to:

• Send spam or place unsolicited calls in violation of applicable law, including — for calls in India — the Telecom Regulatory Authority of India (TRAI) regulations on unsolicited commercial communication and the Do Not Disturb (DND) registry. You must check and honour DND preferences and applicable calling-hour restrictions.
• Conduct illegal robocalling, harassment, fraud, impersonation of others, or deceptive practices, including failing to disclose that a call is automated where disclosure is required by law.
• Call contacts you do not have a lawful basis to contact. You are solely responsible for the contact lists you upload and for obtaining any required consents.
• Attempt to probe, disrupt or overload the Service, resell it without our written agreement, or use it to build a competing dataset of recorded conversations.

We may suspend campaigns, numbers or accounts that we reasonably believe violate this section, with or without notice.

5. Your content and data

You retain ownership of the content you upload (contacts, documents, scripts) and the transcripts of your calls. You grant us the licence needed to process this content to operate the Service. Our handling of personal data is described in our privacy policy.

6. Third-party services

The Service depends on third-party providers, including telephony carriers, speech and language-model providers, and Razorpay for payments. Their availability and performance are outside our control, and outages or changes on their side may affect the Service.

7. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, uninterrupted operation, or that AI-generated transcripts, summaries and lead scores will be accurate. AI output can contain errors; you are responsible for verifying it before relying on it.

8. Limitation of liability

To the maximum extent permitted by law, Nester Labs will not be liable for indirect, incidental, special or consequential damages, or loss of profits, revenue or data, arising from your use of the Service. Our aggregate liability for any claim is limited to the amount you paid us for the Service in the three months preceding the event giving rise to the claim.

9. Indemnity

You will indemnify Nester Labs against claims arising from your contact lists, your campaigns, or your breach of the acceptable-use rules in section 4, including claims by call recipients or regulators.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate the Service for breach of these Terms. Sections that by their nature should survive termination (including billing obligations, disclaimers, limitation of liability and indemnity) survive.

11. Governing law

These Terms are governed by the laws of India. Courts at the registered location of Nester Labs will have exclusive jurisdiction, subject to any mandatory consumer-protection rights you hold under applicable law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
